What a company secretary actually does

The company secretary is responsible for the administrative and compliance side of a company: keeping the statutory registers, making sure filings are made on time, and recording changes to directors, shareholders and people with significant control correctly.

Since 2008, a private UK company is not legally required to have one — but if there is no secretary, the directors carry those duties themselves. This service puts an experienced secretary in that role so the directors do not have to.

  • Maintains statutory registers
  • Manages filing deadlines and statutory changes
  • Removes the compliance burden from directors

Why good records matter

Statutory registers are the legal record of who owns and controls your company. If they are wrong or out of date, filings can be inaccurate, changes can be missed, and the company can end up out of step with the public record at Companies House.

Keeping them right is exactly what a company secretary is for. We make sure your registers reflect reality and that changes are recorded properly as they happen.

  • Accurate registers underpin correct filings
  • Changes recorded properly as they occur
  • Your public record stays consistent

Company secretary questions

Does my company need a company secretary?

A private UK company is not legally required to appoint one. But the duties — maintaining registers and managing filings — still have to be carried out, and without a secretary they fall to the directors. This service takes that on for you.

What does the secretary maintain?

Your statutory registers, including the register of members, directors and people with significant control, plus support with recording statutory changes and managing filing deadlines.

Is this the same as filing my accounts?

No. The company secretary manages your records and deadlines. Preparing and filing your Confirmation Statement and Annual Accounts are separate services, which you can add if you would like us to handle those too.

How long does the service last?

It covers a full year and renews yearly, so your company paperwork stays looked after continuously.

Can I use this for an existing company?

Yes. We can act as company secretary for a UK company whether or not we formed it, reviewing and bringing your registers up to date when we take over.
