1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Regilyze Ltd ("Regilyze", "we", "us", "our"), a company registered in England and Wales (Company Number: 12345678).
By accessing our website (www.regilyze.com) or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms should be read together with our Privacy Policy, which explains how we collect and use your personal data.
2. Our Services
Regilyze provides UK limited company formation services and related business services, including:
- Registration of private companies limited by shares (Ltd/Limited) with Companies House
- Registered office address services
- Director's service address services
- Business address and mail forwarding
- Compliance filing assistance (Confirmation Statement, etc.)
- Business bank account referrals
We provide company formation services, submitting electronic company incorporations on behalf of customers.
Important: We provide administrative and filing services only. We are not solicitors, accountants, or financial advisors. For legal, tax, or financial advice, please consult appropriate professionals.
3. Eligibility
To use our services, you must:
- Be at least 16 years old (the minimum age to be a company director in the UK)
- Have the legal capacity to enter into binding contracts
- Not be disqualified from acting as a company director
- Not be an undischarged bankrupt (without court permission)
- Not be located in a country from which we cannot legally provide services
- Provide accurate and truthful information
3.1 Restricted Countries
Due to legal and regulatory requirements, we cannot provide services to customers located in certain countries. Orders from restricted jurisdictions will be declined and refunded, minus an administrative fee of £9.99. Contact us before ordering if you are unsure about your eligibility.
4. Identity Verification (KYC)
UK law requires identity verification for directors, shareholders, and Persons with Significant Control (PSCs) during company formation. You will need to complete our verification process before your company can be registered.
4.1 Required Documents
You will be required to provide:
- Proof of Identity: Valid passport, national ID card, or driving licence
- Proof of Address: Utility bill, bank statement, or government letter dated within the last 3 months
4.2 Verification Process
After placing your order, we will send verification links to all relevant individuals. Our verification process is conducted online and typically takes only a few minutes. Your company formation will not be submitted to Companies House until all required verifications are complete.
Warning: Providing false or fraudulent information is a criminal offence. We report suspected fraudulent activity to the relevant authorities.
5. Company Formation
5.1 Processing Times
Standard company formations are typically processed by Companies House within 24 working hours after we submit your application. However, this is subject to:
- Completion of identity verification for all parties
- Accuracy and completeness of information provided
- Companies House workload and processing capacity
5.2 Same-Day Formation Service
Our Same-Day Formation service guarantees your company will be submitted on the same business day if:
- Your order is placed before 3:00 PM GMT, Monday to Friday
- All identity verification is completed before the cut-off time
- All required information is provided accurately
The same-day guarantee applies to submission to Companies House, not Companies House acceptance (which is typically within a few hours but outside our control).
5.3 Company Names
We check company name availability against the Companies House register before submission. However, final approval of company names rests with Companies House. Names may be rejected for:
- Being identical or too similar to existing company names
- Containing sensitive words requiring approval (e.g., "Bank", "Royal", "British")
- Being offensive or otherwise unsuitable
If your company name is rejected, we will work with you to find an alternative at no additional cost.
5.4 Application Rejection
If Companies House rejects your application, we will notify you immediately and work to resolve the issue. We do not charge additional fees for resubmission caused by Companies House rejection (unless the rejection is due to information you provided incorrectly).
6. Pricing & Payment
6.1 Our Fees
All prices displayed on our website are in British Pounds (GBP). Our service fees are subject to VAT at the applicable UK rate for UK customers. Non-UK customers may be exempt from VAT.
6.2 Companies House Fee
Important: The Companies House incorporation fee is currently £100 (effective February 2026). This is a UK government fee paid directly to Companies House and is separate from our service fee. This fee is non-refundable once your application has been submitted to Companies House.
6.3 Payment Methods
We accept payment by:
- Credit and debit cards (Visa, Mastercard, American Express)
- PayPal
- Bank transfer (for orders over £500)
All payments are processed securely using industry-standard encryption. We do not store your full card details on our servers.
6.4 Price Changes
We reserve the right to change our prices at any time. Price changes do not affect orders already placed. The Companies House fee is set by the UK government and may change without notice from us.
7. Refunds & Cancellations
7.1 Before Submission to Companies House
If you wish to cancel your order before we submit your application to Companies House, you may request a full refund of both our service fee and the Companies House fee.
7.2 After Submission to Companies House
No Refund of Companies House Fee: Once your company formation application has been submitted to Companies House, the £100 Companies House fee is non-refundable. This fee is paid directly to the UK government and cannot be recovered, even if you no longer wish to proceed or if your application is rejected due to incorrect information you provided.
7.3 Our Service Fee Refunds
After submission to Companies House:
- If we are unable to form your company due to a name rejection or other issue not caused by you, we will refund our service fee in full
- If the rejection is caused by incorrect or fraudulent information you provided, no refund will be given
- If your company is successfully formed, no refund is available
7.4 Address Services Refunds
Registered office and service address subscriptions are non-refundable once activated. If you cancel mid-subscription, you will not receive a pro-rata refund for the remaining period.
7.5 How to Request a Refund
To request a refund, contact us at support@sriingredients.com with your order number and reason for the refund request. Refunds are processed within 5-10 business days to your original payment method.
8. Address Services
8.1 Registered Office Address
Our registered office service provides a UK address for your company's statutory correspondence. We will:
- Receive all mail from Companies House, HMRC, and government bodies
- Scan and email mail to you within 1 business day
- Store original mail securely for 30 days
- Forward physical mail upon request (postage charges apply)
8.2 Service Address
Our service address provides a correspondence address for company directors, secretaries, and PSCs, keeping your home address off the public Companies House register.
8.3 Automatic Renewal
Auto-Renewal: Address services automatically renew annually to ensure your company remains compliant. We will email you at least 14 days before renewal with the renewal amount and option to cancel. If you do not cancel, your saved payment method will be charged on the renewal date.
8.4 Cancelling Address Services
To cancel an address service:
- Log into your dashboard and cancel before the renewal date, or
- Contact us at support@sriingredients.com at least 7 days before renewal
Important: If you cancel your registered office service, you must update your company's registered office address at Companies House within 14 days. Failure to maintain a valid registered office address is a criminal offence.
8.5 Mail We Do Not Handle
We reserve the right to refuse or return:
- Parcels or packages over 2kg
- Suspicious or potentially dangerous items
- Items requiring customs clearance
- Personal (non-business) mail
9. Customer Responsibilities
By using our services, you agree to:
- Provide accurate, complete, and truthful information at all times
- Keep your account credentials confidential and secure
- Notify us immediately of any unauthorized access to your account
- Not use our services for any unlawful purpose
- Not submit false, misleading, or fraudulent information to Companies House
- Comply with all applicable UK laws and regulations, including the Companies Act 2006
- Maintain your company's compliance obligations (filing accounts, confirmation statements, etc.)
- Keep your registered office address up-to-date with Companies House
You are solely responsible for the lawful operation of your company once formed. Regilyze does not monitor or supervise your business activities.
10. Intellectual Property
All content on our website, including text, graphics, logos, icons, images, and software, is the property of Regilyze Ltd or our licensors and is protected by UK and international copyright laws.
You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.
Company documents we prepare for you (Articles of Association, etc.) may be used freely for your company's purposes.
11. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
- Our total liability for any claim arising from our services is limited to the amount you paid us for the specific service giving rise to the claim
- We are not liable for delays or failures caused by Companies House, HMRC, banks, or other third parties
- We are not liable for losses arising from your failure to provide accurate information
- We are not liable for any losses relating to your business operations or decisions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Regilyze Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or regulation
- Your provision of false or misleading information
- Any third-party claims relating to your company or business activities
13. Termination
We may suspend or terminate your access to our services immediately if:
- You breach any provision of these Terms
- We reasonably believe you have provided false or fraudulent information
- We are required to do so by law or regulatory authority
- We reasonably believe your account is being used for unlawful purposes
Upon termination:
- Your access to your dashboard may be suspended
- Ongoing address services will be cancelled (you must update your registered office at Companies House)
- We will retain records as required by law
14. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, you agree to contact us to attempt to resolve the dispute informally. We will endeavour to respond to complaints within 14 days.

15.1 Complaints

15.2 Changes to These Terms
We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
