These Terms and Conditions ("Terms") form a legally binding agreement between you ("Customer", "you", "your") and Regilyze ("Regilyze", "we", "us", "our").
By accessing our website at regilyze.com or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms should be read together with our Privacy Policy and Cookie Policy.
2. Our Services
Regilyze provides UK limited company formation and related compliance services, including:
- Registration of private companies limited by shares (Ltd / Limited) with Companies House
- Registered office and director's service address services
- Government mail scanning, email forwarding, and physical mail forwarding
- VAT, PAYE, and EORI number registration with HMRC
- Annual confirmation statement and accounts filing assistance
- Company secretary services and ID verification for Companies House
- Business bank account referrals to UK banking partners
- Customer support via email, phone, and 24/7 WhatsApp

Important: We provide administrative and filing services. We are not solicitors, chartered accountants, or financial advisors. For tailored legal, tax, or financial advice you should consult an appropriately qualified professional.
3. Eligibility
To use our services you must:
- Be at least 16 years old (the minimum age to be a UK company director)
- Have legal capacity to enter into a binding contract
- Not be disqualified from acting as a company director
- Not be an undischarged bankrupt (without court permission)
- Not be located in a country we cannot legally serve under UK and international sanctions law
- Provide accurate and truthful information
3.1 Restricted countries
Due to legal and regulatory requirements (including UK sanctions and anti-money laundering law), we cannot provide services to customers located in certain countries. Orders from restricted jurisdictions will be declined and refunded, less an administrative fee. If you are unsure about eligibility, contact us at info@regilyze.com before ordering.
4. Identity Verification
UK law requires identity verification for directors, shareholders, and Persons with Significant Control (PSCs) during company formation. You must complete our verification process before your company can be submitted to Companies House.
4.1 Required documents
- Proof of identity: Valid passport, national ID card, or photo driving licence
- Proof of address: Utility bill, bank statement, or government letter dated within the last 3 months
4.2 Verification process
After placing your order, we will email verification links to all relevant individuals. The process is online, takes a few minutes, and uses bank-grade ID verification technology. Your company formation will not be submitted to Companies House until all required verifications are complete.
Warning: Providing false or fraudulent information is a criminal offence under UK law. We report suspected fraudulent activity to the relevant authorities.
5. Company Formation
5.1 Processing times
Most company formations are processed by Companies House within 24 working hours after we submit your application. This is subject to:
- Completion of identity verification for all parties
- Accuracy and completeness of the information you provide
- Companies House workload and processing capacity
5.2 Same-day formation
Where same-day formation is offered, your application will be submitted on the same business day if:
- Your order is placed before 3:00 PM GMT, Monday to Friday
- All identity verification is completed before the cut-off time
- All required information is provided accurately
The same-day commitment applies to our submission to Companies House. Companies House acceptance time is outside our control (though it is usually within a few hours).
5.3 Company names
We check name availability against the Companies House register and Schedule 1 sensitive-word rules before submission. However, final approval rests with Companies House. Names may be rejected for being:
- Identical or too similar to an existing UK company name
- Containing sensitive or restricted words requiring approval (e.g., "Bank", "Royal", "British")
- Offensive, misleading, or otherwise unsuitable
If your chosen name is rejected, we will help you choose an alternative at no extra service-fee cost.
5.4 Application rejection
If Companies House rejects your application, we will notify you and work to resolve the issue. We do not charge an additional service fee for resubmission caused by issues outside your control. The Companies House fee for the original (rejected) submission is non-refundable, as it is paid to the UK government.
6. Pricing & Payment
6.1 Our fees
All prices on our website are in British Pounds (GBP). Service fees may be subject to UK VAT where applicable.
6.2 Companies House fee
Important: The Companies House incorporation fee is currently £100. This is a UK government fee paid directly to Companies House and is separate from our service fee. It is non-refundable once your application has been submitted to Companies House.
6.3 Payment methods
- Credit and debit cards (Visa, Mastercard, American Express)
- Apple Pay and Google Pay where supported
- Bank transfer (for selected larger orders — contact support to arrange)
All payments are processed by PCI-DSS compliant providers. We do not store your full card details on our servers.
6.4 Price changes
We reserve the right to change our prices at any time. Price changes do not affect orders already placed. The Companies House fee is set by the UK government and may change without notice from us.
7. Refunds & Cancellations
7.1 Before submission to Companies House
If you cancel your order before we submit your application to Companies House, you may request a full refund of both our service fee and the Companies House fee.
7.2 After submission to Companies House
No refund of Companies House fee: Once your application has been submitted to Companies House, the £100 fee is non-refundable. This fee is paid to the UK government and cannot be recovered — even if you change your mind or the application is rejected because of incorrect information you provided.
7.3 Our service fee refunds
After submission to Companies House:
- If we are unable to form your company due to an issue not caused by you, we will refund our service fee in full
- If the rejection is caused by incorrect or fraudulent information you provided, no refund of our service fee will be given
- Once your company has been successfully formed, no refund of our service fee is available
7.4 How to request a refund
Email info@regilyze.com with your order number and reason for the refund request. Refunds are processed within 5–10 business days to your original payment method.
8. Address & Mail Services
8.1 Registered office address
Our registered office service provides a UK address for your company's statutory correspondence. We will:
- Receive all mail from Companies House, HMRC, and government bodies
- Scan and email statutory mail to you within 1 business day
- Store original mail securely for 30 days
- Forward physical mail on request (postage charges apply)
8.2 Director's service address
Our service address provides a correspondence address for company directors, secretaries, and PSCs — keeping your home address off the public Companies House register.
8.3 Mail we do not handle
We reserve the right to refuse or return:
- Parcels or packages over 2 kg
- Suspicious, illegal, or potentially dangerous items
- Items requiring customs clearance or duty payment
- Personal (non-business) mail unrelated to the company
8.4 Cancelling address services
To cancel an address service, log into your dashboard before the renewal date or email info@regilyze.com at least 7 days before renewal.
Important: If you cancel your registered office service, you must update your company's registered office at Companies House within 14 days. Failing to maintain a valid registered office address is a criminal offence under the Companies Act 2006.
9. Recurring Services & Auto-Renewal
Some of our services renew automatically to keep your company compliant. These include (but are not limited to) registered office address, director's service address, and company secretary services.
9.1 Renewal billing
- Renewal periods (monthly, quarterly, or annually) are clearly shown on the service page and at checkout
- We email you a reminder at least 14 days before each renewal with the renewal amount and a cancellation link
- If you do not cancel before the renewal date, your saved payment method will be charged automatically
9.2 No pro-rata refunds on cancellation
Renewals already paid are non-refundable on a pro-rata basis. If you cancel mid-period, your service continues until the end of the paid period and is then not renewed.
10. Customer Responsibilities
By using our services you agree to:
- Provide accurate, complete, and truthful information at all times
- Keep your account credentials confidential and secure
- Notify us immediately of any unauthorised access to your account
- Not use our services for any unlawful purpose
- Not submit false, misleading, or fraudulent information to Companies House or HMRC
- Comply with all applicable UK laws and regulations, including the Companies Act 2006
- Maintain your company's compliance obligations — filing accounts, confirmation statements, etc.
- Keep your registered office address up to date with Companies House
You are solely responsible for the lawful operation of your company once formed. Regilyze does not monitor or supervise your business activities.
11. Intellectual Property
All content on our website — including text, graphics, logos, icons, images, and software — is the property of Regilyze or its licensors and is protected by UK and international copyright laws.
You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.
Company documents we prepare for you (such as Articles of Association) may be used freely for your company's own purposes.
12. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
- Our total liability for any claim is limited to the amount you paid us for the specific service giving rise to the claim
- We are not liable for delays or failures caused by Companies House, HMRC, banks, payment processors, or other third parties
- We are not liable for losses arising from your failure to provide accurate information
- We are not liable for losses relating to your business operations or commercial decisions
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Regilyze, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or regulation
- Your provision of false or misleading information
- Any third-party claim relating to your company or business activities
14. Termination
We may suspend or terminate your access to our services immediately if:
- You breach any provision of these Terms
- We reasonably believe you have provided false or fraudulent information
- We are required to do so by law or a regulatory authority
- We reasonably believe your account is being used for unlawful purposes
Upon termination:
- Your access to your dashboard may be suspended or revoked
- Ongoing address services will be cancelled (you must update your registered office at Companies House within 14 days)
- We will retain records as required by UK law
15. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of our services are subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, you agree to contact us to attempt informal resolution. We will endeavour to respond to formal complaints within 14 days.

16.1 Changes to these Terms
